Investors

This section of the site is for individuals who qualify as a high net worth individual or a self-certified sophisticated investor under the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005. It is not intended for the general public.

Ungraded Ltd shares company and investment information with qualifying investors. Ungraded is not authorised by the Financial Conduct Authority and this information has not been approved by an authorised person. The law therefore only permits us to share it with people who meet one of the criteria below and who have signed a declaration confirming that they do.

Who qualifies

You are a high net worth individual if, in the last financial year, you either:

  • had an annual income of £100,000 or more (one-off pension withdrawals don't count), or
  • held net assets of £250,000 or more throughout the year. Net assets exclude your main home and any loan secured on it, your pension, and any rights under insurance contracts.

You are a self-certified sophisticated investor if any of the following applies to you:

  • you have been a member of a network or syndicate of business angels for at least the last six months
  • you have made more than one investment in an unlisted company in the last two years
  • you work, or have worked in the last two years, in a professional capacity in private equity or in providing finance to small and medium-sized enterprises
  • you are, or have been in the last two years, a director of a company with an annual turnover of at least £1 million

Before you continue

  • This information is available to UK residents only.
  • Investing in early-stage companies is high-risk. You could lose all of the money you invest, and shares in a private company are difficult to sell.
  • You will be asked to sign a declaration in the form prescribed by the Financial Promotion Order. By signing it you may lose significant regulatory protections, including the right to complain to the Financial Conduct Authority or the Financial Ombudsman Service and any right to compensation from the Financial Services Compensation Scheme.
  • If you do not meet the criteria, you should not continue. If you are in any doubt about whether an investment of this kind is suitable for you, you should consult an authorised person who specialises in advising on investments of this kind.
